Terms and Conditions of use of The Service

1.  "YOU", "Researcha" AND THE TERMS THAT APPLY

(a) In these Terms and Conditions, "You" means the person whose name and address have been provided to Researcha Limited ("Researcha") for billing purposes and who has been provided with a user name and password (Your "Identity") for use with The Service. If The Service is accessed by using Your Identity, You will be deemed to have authorised that access, on the basis of the Terms & Conditions prevailing at that time. Either You or Researcha may revoke Your Identity, to terminate your use of The Service, at any time by giving notice to the other by post, email or via this site. Following receipt of notice You will cease to be liable for any further charges arising from use of that ID.

(b) These Terms and Conditions will apply to every access to The Service by means of Your Identity, but Researcha reserves the right to issue revisions to this Agreement by publishing a revised version of this document on this site: that version will then apply to all use by You following the date of publication. Each purchase from The Service will be a separate, discrete transaction based on the then prevailing terms.

(c) Any service messages which may occasionally be published (other than price and product revisions) and any statements or timings provided by any helpdesk staff or help menu are intended for informal guidance only and do not form part of Your contract with us.

2.  COPYRIGHT AND DATABASE LICENCE

(a) Researcha warrants and You accept that Researcha is, or is duly licensed by a third party ("Contributor") who is, the owner of the copyright in the reports available to You from time to time through The Service ("Reports").

(b) Researcha grants You and Your "Clients" a non-exclusive, non-transferable licence to use the Reports, subject to these Terms and Conditions. In these Terms and Conditions, "Clients" shall mean any person who is the intended user of a Report when You purchase it and who receives the Report from You only as an incidental part of a wider range of professional services provided by You to that Client.

3.  CUSTOMER  COVENANTS

You will take all reasonable steps to ensure that You and Your Clients will:

(a) interpret the information obtained from the Reports in accordance with the definitions and explanations of terms which are provided in "User Documentation", available from the Help Page.

(b) treat as strictly private and confidential all information from the Reports and will not cause or permit any such information to be communicated, copied or otherwise divulged to any other person whatsoever.

(c) use information obtained from the Reports only for Your own or Your Clients' own private use and for the internal purposes of Your or their businesses; in no event may You or Your Clients cause or permit any part of a Report to be reproduced in any form (whether as a duplicate or in condensed, selective or tabulated form) for or provided to another party, whether for resale or otherwise, other than a Client.

4.  ACCOUNTING  & CHARGES

(a) Researcha reserves the right to require payment in advance of each access which is its normal practice. It may grant You credit up to an undisclosed limit, which Researcha will fix and review from time to time as it sees fit, and invoice You in arrears.

(b) Where credit is given, Researcha reserves the right to invoice You immediately following each use of The Service, but Researcha may aggregate your purchases over a monthly or other period and charge you for that period's use on one invoice.

(c) You undertake to pay Researcha's charges for Reports at the rates shown in the Price Schedule (the current version of which is displayed at this site but which may be amended or replaced at any time) on receipt of Researcha's invoices. Payment must be in the currency we have associated with Your account, net of any currency, transaction or other charges. You must pay any sales, value added and other taxes Researcha believes chargeable on the transaction, which will be added to all invoices. If any charge remains unpaid for more than thirty days after the date it was incurred, Researcha reserves the right to charge You interest accruing daily at 12 % p.a. and any additional reasonable costs of collection which Researcha incurs and to withdraw Your Identity and licence to use The Service.

5.  DISCLAIMER OF WARRANTIES AND EXCLUSION OF LIABILITY

(a) Researcha aspires to the highest quality standards in the industry, but no data resource of such size and complexity should claim to be entirely error free. You should therefore use The Service with caution and not to base important business decisions on a Report alone, without inde-pendent verification. Researcha and its Contributors make no representation or warranty and assume no contractual responsibility to You or any other party as to uninterrupted availability of The Service or the satisfactory quality or fitness for purpose, accuracy or currency of any information obtained from any Report. Researcha and its contractors and Contributors accept no liability for any direct loss or damage, other than that arising from the malicious act of any of them or their employees, or for any indirect or consequential loss or damage howsoever arising, which is attributable to any error or ommission in the Databases or defect in the functionalities provided with The Service. However, Researcha and its Contributors do not seek to limit their liability for death or person-al injury caused by their negligence.

b) In the event that a judgement be awarded against Researcha or a Contributor in respect of any matter arising out of this Agreement (other than in the case of death or personal injury as above) Researcha's or the Contributor's maximum liability to You or anyone claiming through You, whether in tort or contract, arising out of any one incident or series of connected incidents will be limited to a total sum of  £2,000 or three times the cost of Reports You have purchased through the Service, whichever is the higher.

(c) By their very nature, some of the facts or opinions You receive from The Service may be open to dispute, particularly by the subject company or its directors, or considered damaging or defamatory.  If You breach the Customer Covenants contained in Clause 3 above, You agree to indemnify in full Researcha, and its contractors and Contributors against all liabil-ities, claims, costs and expenses which any of them may incur as a result.

6.  GENERAL

(a) These Terms and Conditions, the Price Schedule and the Customer Account and Identity details exchanged between You and Researcha constitute the entire Agreement between You and Researcha as to Your use of The Service. No other spoken or written statement will be treated as part of our Agreement unless set out in a formal written amendment signed by both You and Researcha. Your statutory rights are not affected.

(b)  The terms and conditions of this Agreement are severable and, if any one or more of them is held to be illegal or invalid, the remainder shall continue in full force and effect.

(c) This Agreement and the licence granted may not be assigned or sublet by You without Researcha's written consent in advance.

(d) You undertake to comply with the requirements of the Data Protection Act 1998 as may be amended from time to time in relation to any personal data derived from a Report. Researcha may restrict Your use or disclosure of personal data following your purchase as Researcha may consider reasonable to ensure compliance with the legislation or good standards of practice prevailing in any relevant jurisdiction.

(e) You and Researcha agree that Contributors will have relied upon and will be entitled to have full benefit of and enforce all those provisions of this User Agreement having a bearing on the use of the information provided by them and on their rights and liabilities arising out of such use, including but not limited to Clauses 3 and 5.

(f) This Agreement shall be governed, construed and enforced in accordance with English Law and both parties hereby submit to the non-exclusive jurisdiction of the English courts.

(g) All complaints and refunds are handled in a timely manner and we strive to provide excellent customer 
service. Any complaints or refund requests should be sent to <support@researcha.co.uk> and we endeavour 
to respond to all complaints within five working days.
